This Vendor Participation Agreement explains the basic responsibilities vendors accept when applying to sell products or services through Chefatron.
By applying to become a vendor, creating vendor listings, accepting orders, receiving payouts, or using Chefatron’s vendor tools, vendors agree to follow Chefatron’s rules and remain responsible for their own business activities, listings, taxes, licenses, permits, fulfillment, customer communication, refunds, and legal compliance.
Vendor Status
Chefatron may review vendor applications and approve, deny, restrict, suspend, or remove vendor access at its discretion.
Submitting a vendor application does not guarantee approval. Vendor access may depend on application information, platform requirements, Stripe Express setup, policy compliance, safety concerns, customer complaints, or other factors.
Vendor verification, approval, or access to vendor tools does not mean Chefatron guarantees the vendor’s products, services, food safety, legal compliance, licensing status, quality, reliability, or outcomes.
Independent Vendor Responsibility
Vendors using Chefatron are independent sellers or service providers. Vendors are not employees, agents, partners, representatives, or legal affiliates of Chefatron.
Vendors are responsible for their own listings, products, services, pricing, availability, fulfillment, customer service, taxes, licenses, permits, insurance, food safety rules, and legal compliance.
Chefatron provides marketplace tools and platform access, but vendors remain responsible for what they sell, offer, prepare, deliver, schedule, ship, or provide.
Accurate Information
Vendors agree to provide accurate and current information during the application process, vendor setup, Stripe Express onboarding, and listing creation.
Vendors are responsible for keeping their business information, contact information, payout information, listing details, prices, availability, and compliance information updated.
Chefatron may restrict or remove vendor access if information is false, misleading, incomplete, outdated, or creates risk for Chefatron or its users.
Listings and Offerings
Vendors agree that all listings must be accurate, lawful, safe, and consistent with Chefatron’s posting rules.
Vendors may not list prohibited, illegal, unsafe, misleading, counterfeit, stolen, restricted, or otherwise inappropriate products or services.
Chefatron may remove or edit listings at its discretion if a listing appears to violate platform rules, creates safety concerns, creates legal concerns, receives complaints, or is otherwise not appropriate for the platform.
Vendors are responsible for accurately describing products or services, including price, quantity, availability, pickup or shipping options, service details, ingredients where applicable, allergens where applicable, and any important limitations or conditions.
Platform Fees and Commission
Chefatron may charge a platform fee or commission on certain paid vendor transactions completed through the website.
Chefatron’s current standard platform commission is 5% of vendor sales, unless otherwise stated or agreed to in writing.
Platform fees, commission rates, payout processes, and payment terms may change over time. Chefatron may update its fees, commission structure, or payment methods at its discretion. Updated fees may be communicated through the website, vendor dashboard, checkout process, vendor documentation, email, or other reasonable platform notice.
By participating as a vendor, vendors agree that applicable platform fees or commissions may be deducted from vendor sales before payout.
Payment Processing Fees
Vendor payments may be processed through Stripe, Stripe Express, Stripe Connect, or another third-party payment provider. Vendors may be required to create or connect a payment account before receiving payouts.
Vendors are responsible for applicable payment processing fees, including Stripe fees or other provider fees, unless Chefatron states otherwise. These fees are separate from Chefatron’s platform commission.
Payout timing, account verification, holds, reserves, chargebacks, refunds, disputes, payment account restrictions, and payment availability may be controlled in whole or in part by the payment provider.
Chefatron is not responsible for delays or restrictions caused by incomplete vendor onboarding, payment provider requirements, failed verification, banking issues, disputes, chargebacks, reserves, provider policies, or other third-party payment issues.
Taxes and Business Records
Chefatron may collect applicable sales tax on taxable paid transactions completed through the website where required by law.
Vendors remain responsible for understanding and complying with all tax obligations that apply to their own business, products, services, income, filings, licenses, permits, and records.
Vendors are responsible for reviewing whether their products or services are taxable, properly categorized, accurately described, and compliant with applicable federal, state, and local laws.
If a vendor completes a sale, service, swap, barter, or arrangement outside of Chefatron’s paid checkout process, the vendor is responsible for any applicable tax obligations related to that transaction.
Chefatron may provide vendor tools, order records, sales activity, and Stripe Express payout information that can help vendors stay organized, but Chefatron does not provide tax, legal, accounting, insurance, or licensing advice.
Vendors should consult a qualified professional if they have questions about taxes, licenses, permits, insurance, or legal obligations.
Stripe Express and Payouts
Approved vendors may be required to connect a Stripe Express account to receive payouts through Chefatron.
Stripe may require vendors to provide identity, business, bank, tax, or verification information. Payout timing, payout holds, verification requirements, bank account updates, and payment availability may depend on Stripe’s requirements and the vendor’s account status.
Vendors are responsible for reviewing their Stripe Express account, payout information, payment records, and related notices from Stripe.
Chefatron may provide general guidance about the vendor setup process, but vendors are responsible for completing and maintaining their own Stripe Express onboarding and payout information.
Customer Orders and Fulfillment
Vendors are responsible for fulfilling orders as described in their listings.
Vendors agree to communicate clearly with customers about order details, pickup, delivery, shipping, scheduling, timing, availability, product details, service details, cancellations, and customer concerns.
Vendors should not accept orders they cannot reasonably fulfill.
If shipping is offered, vendors are responsible for properly packaging, shipping, tracking, and fulfilling the order according to the listing terms and any applicable shipping requirements.
Food Vendors and Food Compliance
Food-related vendors are responsible for knowing and following all applicable food safety, cottage food, labeling, licensing, inspection, pickup, delivery, shipping, sales, tax, and local/state requirements.
Chefatron does not verify that every food vendor has the proper license, permit, inspection, certification, insurance, or legal approval.
Vendors are responsible for confirming what they are legally allowed to sell, where they are allowed to sell it, how it may be delivered, shipped, or picked up, and what labeling, ingredient, allergen, or safety rules apply.
Vendors must not list or sell food items they are not legally permitted to offer.
Chefatron does not inspect kitchens, verify food preparation methods, certify food safety, guarantee licensing status, or determine whether a vendor’s food, items, or services comply with applicable law.
Refunds and Customer Issues
Refunds are generally handled by the vendor. Vendors are responsible for responding to customer concerns, reviewing refund requests, and resolving order issues related to their own listings.
For paid vendor transactions completed through Chefatron checkout, refund requests, order concerns, or payment disputes may be reviewed based on available order records, user communication, payment status, vendor response, and platform policies.
Chefatron may provide basic tools for users to report issues, but Chefatron does not automatically guarantee refunds for every purchase and is not a full-service buyer protection, seller protection, insurance, reimbursement, or guarantee program.
Repeated refund issues, unresolved customer complaints, misleading listings, unsafe conduct, failed fulfillment, or policy violations may result in vendor restrictions, listing removal, account suspension, or vendor removal.
Off-Platform Payments and Arrangements
Vendors are encouraged to use Chefatron’s official checkout process when accepting vendor sales through the platform.
If a vendor or customer chooses to arrange payment outside Chefatron, such as cash, payment apps, private messages, or other off-platform methods, Chefatron may have limited ability to review, track, or assist with payment disputes.
Off-platform payment arrangements are handled at the vendor’s and customer’s own risk.
If a vendor completes an off-platform taxable sale, service, swap, barter, or other arrangement, the vendor is responsible for any applicable tax, licensing, recordkeeping, refund, and legal obligations related to that transaction.
Communication and Conduct
Vendors agree to communicate professionally and respectfully with customers, users, and Chefatron.
Harassment, threats, discrimination, fraud, scams, abusive behavior, misleading communication, unsafe conduct, or attempts to avoid platform rules may result in account restrictions or removal.
Complaints and Platform Review
Chefatron may review complaints involving vendors, listings, orders, communication, safety concerns, food compliance concerns, refund issues, or policy violations.
Chefatron may request additional information from the vendor, customer, or other users involved.
Possible outcomes may include no action, warning, listing removal, refund review, temporary restriction, vendor suspension, or permanent removal from the platform.
For free swaps, barter listings, requests, or off-platform arrangements, users are responsible for the terms and outcome of their own agreements. Chefatron may review reports and take moderation action when appropriate, but Chefatron is not responsible for reimbursing users or enforcing private off-platform agreements.
Vendor Access May Be Removed
Chefatron may restrict, suspend, or remove vendor access at its discretion if there are policy violations, repeated complaints, suspected fraud, unsafe conduct, illegal activity, misleading listings, failure to fulfill orders, unresolved refund issues, tax or compliance concerns, payment issues, or other concerns.
Vendors may contact Chefatron if they believe a restriction or removal should be reviewed. Submitting a review request does not guarantee reinstatement.
Agreement Updates
Chefatron may update this Vendor Participation Agreement from time to time. Continued use of Chefatron’s vendor tools after updates may mean the vendor agrees to the updated terms.
Vendors are responsible for reviewing current vendor rules, policies, and requirements.
Vendor Acknowledgment
By applying to become a vendor, using Chefatron’s vendor tools, creating listings, accepting orders, or receiving payouts through the platform, vendors acknowledge that they have read and agree to this Vendor Participation Agreement.
Vendors also acknowledge that they are responsible for their own products, services, listings, taxes, licenses, permits, insurance, food safety obligations, fulfillment, refunds, customer communication, payment provider accounts, and legal compliance.
